REGISTRATION AGREEMENT AND TERMS OF USE

This REGISTRATION Agreement and Terms of Use govern your useof Des Moines Dollar Dealer.

If you agree to be bound by the terms of this Agreement, youshould click on the "I ACCEPT" button at the end of this Agreement.If you do not agree to be bound by the terms of this Agreement, you shouldclick "NO, I DO NOT ACCEPT." If you click " NO, I DO NOTACCEPT," you will not be able to proceed with the registration process forDes Moines Dollar Dealer and become a REGISTRANT. To the extent you have accessto, or are using, Des Moines Dollar Dealer without having completed ourregistration process and clicked on an "I ACCEPT" button, you arehereby notified that your continued use of Des Moines Dollar Dealer is subjectto the terms and conditions of this Agreement as explained in Section 4 below.

1. Changes to REGISTRATION Agreement. We may change theterms of this Agreement at any time by notifying you of the change in writingor electronically. The changes also will appear in this document, which you canaccess at any time by going to the Contact Us page of Des Moines Dollar Dealer.You signify that you agree to be bound by such changes by using Des MoinesDollar Dealer after changes are made to this Agreement.

2. Privacy and Your Account. Registration data and otherinformation about you are subject to our Privacy Policy. Your information maybe stored and processed in the United States or any other country, and byregistering with Des Moines Dollar Dealer, you consent to the transfer ofinformation outside of your country. If you access Des Moines Dollar Dealerusing a password, you are solely responsible for maintaining theconfidentiality of that password. If you provide someone else with access toyour password to Des Moines Dollar Dealer, they will have the ability to viewinformation about your account and make changes through this web site.Similarly, if you tell someone the answer to your security question for DesMoines Dollar Dealer, they will be able to request information about youraccount and make changes to it. You agree to notify us promptly if you changeyour address or email so we can continue to contact you and send any noticesrequired hereunder. If you fail to notify us promptly of a change, then anynotice we send to your old address or email shall be deemed sufficient notice.

3. Fees and Payments. No registration fees are required inconnection with your user name and password for use of Des Moines DollarDealer. However, if you choose to place an advertisement with us, you may besubject to fees depending on the type of ad you are placing. See the Ad Pricingpage to view a breakdown of the advertising prices. We will bill all chargesautomatically to your credit card. Unless we state in writing otherwise, allfees and charges are nonrefundable. We may change the fees and charges then ineffect, or add new fees or charges, by giving you notice in advance. If youwant to use a different credit card or there is a change in credit cardvalidity or expiration date, or if you believe someone has accessed Des MoinesDollar Dealer using your user name and password without your authorization,please contact us immediately.

4. Exceptions for Various Types of Users. You may access DesMoines Dollar Dealer without becoming a REGISTRANT in order to view ads only;however, you may not be entitled to the extra features listed on the BuyerFeatures and Seller Features pages.

5. Limitations on Use.

a. Only one individual may access Des Moines Dollar Dealerat the same time using the same user name or password, unless we agreeotherwise.

b. The text, graphics, images, video, design, organization,compilation, look and feel, advertising and all other protectable intellectualproperty (the "Content") available through Des Moines Dollar Dealeris our property or the property of our advertisers and is protected bycopyright and other intellectual property laws. You may not sell, publish,distribute, retransmit or otherwise provide access to the Content receivedthrough Des Moines Dollar Dealer to anyone with the following exception: youmay use our "Tell-a-Friend" service to e-mail an ad's details to afriend using the site's messaging system.

c. You agree not to rearrange or modify the Content. Youagree not to create abstracts from, scrape or display headlines from ourcontent for use on another web site or service. You agree not to post anycontent from Des Moines Dollar Dealer to weblogs, newsgroups, mail lists orelectronic bulletin boards.

d. You agree not to use Des Moines Dollar Dealer for anyunlawful purpose. We reserve the right to terminate or restrict your access toDes Moines Dollar Dealer if, in our opinion, your use of Des Moines DollarDealer may violate any laws, regulations or rulings, infringe upon anotherperson's rights or violate the terms of this Agreement. Also, we may refuse togrant you a user name that impersonates someone else, is protected by trademarkor other proprietary right law, or is vulgar or otherwise offensive.

6. Restricted Activities. Without limiting any otherremedies available, Des Moines Dollar Dealer may restrict, suspend or terminateyour account, prohibit access to the Des Moines Dollar Dealer website, removehosted content, and take technical and/or legal measures to prevent use of thewebsite if you or user of the website acts contrary to the spirit of thisAgreement, participates in disruptive practices or creates potential legalliabilities. Des Moines Dollar Dealer does not allow the use of profanity orpatently vulgar language. This includes the use of language that is racist,hateful, sexual, or obscene in nature in a public area. Des Moines DollarDealer does not condone the posting of any content which constitutes illegalconduct, encourages illegal conduct, or which is false, fraudulent, misleading,inaccurate, defamatory, involves counterfeit goods or documents, or whichinfringes upon any copyright, trademark, or other intellectual property rightprotections. Posting of content which violates these Terms of Use, or thespirit thereof, may result in disciplinary action. This action may include aformal warning, the ending of all violating postings, or even temporary orindefinite suspension of a REGISTRANT's account.

The failure of Des Moines Dollar Dealer to act or itselection not to act with respect to a breach of this Agreement by you or otherthird parties shall not waive the right of Des Moines Dollar Dealer to act withrespect to subsequent or similar breaches. Des Moines Dollar Dealer does notguarantee that it will pursue action or seek remedies against all breaches ofthis Agreement.

7. Release and Indemnity. If you have a dispute with one ormore REGISTRANTS, you agree that you release Des Moines Dollar Dealer (and itsofficers, managers, members, employees and agents) from any claims, demands anddamages (actual or consequential) of any nature, whether known or unknown,arising out of or in any way connected with such disputes, Des Moines DollarDealer facilitates the exchange of goods and information by providing a forumfor such transactions. Des Moines Dollar Dealer is not a buyer or seller ofgoods, and is not involved in any actual transactions between RESISTRANTS. Assuch, Des Moines Dollar Dealer has no control over and does not guarantee thequality, authenticity, condition, safety of legality of any items advertised,the truth or accuracy of any postings by REGISTRANTS, the marketability oftitle or the rightful ownership of any items which may be posted on thewebsite.

You agree to indemnify and hold Des Moines Dollar Dealer(and its officers, managers, members, employees and agents) harmless from anyclaim or demand, including reasonable attorneys' fees, made by any third partydue to or arising out of your breach of this Agreement, or your violation ofany law or the rights of a third party.

8. No Agency. No agency, partnership, joint venture,employment or franchise relationship is intended to be created between DesMoines Dollar Dealer and any other party by this Agreement.

9. DISCLAIMERS OF WARRANTIES AND LIMITATIONS ON LIABILITY.YOU AGREE THAT YOUR ACCESS TO, AND USE OF, DES MOINES DOLLAR DEALER AND THECONTENT AVAILABLE THROUGH DES MOINES DOLLAR DEALER IS ON AN "AS-IS","AS AVAILABLE" BASIS AND WE SPECIFICALLY DISCLAIM ANY REPRESENTATIONSOR WARRANTIES, EXPRESSED OR IMPLIED. DES MOINES DOLLAR DEALER AND ITSSUBSIDIARIES, AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, AND EMPLOYEES("THE DES MOINES DOLLAR DEALER PARTIES") WILL NOT BE LIABLE (JOINTLYOR SEVERALLY) TO YOU OR ANY OTHER PERSON AS A RESULT OF YOUR ACCESS OR USE OFDES MOINES DOLLAR DEALER FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL,PUNITIVE, OR EXEMPLARY DAMAGES. IF ANY APPLICABLE AUTHORITY HOLDS ANY PORTIONOF THIS SECTION TO BE UNENFORCEABLE, THEN THE DES MOINES DOLLAR DEALER PARTIES'LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BYAPPLICABLE LAW.

10. Liability. Des Moines Dollar Dealer cannot guaranteecontinuous or secure account services, and operation of this website may beinterfered with and disruptions of service may be caused by any number offactors outside of its control.

11. Attorney Fees. In the event that Des Moines DollarDealer elects to pursue legal action to collect any fees which have not beenpaid or for which funds have been withheld without legal cause, REGISTRANTshall be liable for reasonable attorneys' fees incurred by Des Moines Dollar Dealerin pursuit of collection, in the event that Des Moines Dollar Dealer prevailsin such legal action.

12. Assignment. Des Moines Dollar Dealer reserves the rightto assign its rights and obligations under the terms of this Agreement at anytime without prior notice or approval from the REGISTRANTS.

13. General. This Agreement contains the final and entireagreement between us regarding your use of Des Moines Dollar Dealer andsupersedes all previous and contemporaneous oral or written agreements regardingyour use of Des Moines Dollar Dealer. We may discontinue or change the featuresor their availability to you, at any time. This Agreement is personal to you,which means that you may not assign your rights or obligations under thisAgreement to anyone. No third party is a beneficiary of this Agreement. Youagree that this Agreement, as well as any and all claims arising from thisAgreement will be governed by and construed in accordance with the laws of theState of Iowa, United States of America applicable to contracts made entirelywithin Georgia and wholly performed in Georgia, without regard to any conflictor choice of law principles. The sole jurisdiction and venue for any litigationarising out of this Agreement will be an appropriate federal or state courtlocated in Georgia having jurisdiction over Des Moines Dollar Dealer under thelaws of the State of Georgia. This Agreement will not be governed by the UnitedNations Convention on Contracts for the International Sale of Goods.

If any provision of this Agreement is found invalid,unenforceable or in violation of any law by a court of competent jurisdiction,such provision shall be modified only to the extent necessary to enable suchprovision to be valid and enforceable, without effect in the remaining portionsof this Agreement, which shall remain in full force and effect.

This Agreement is binding upon and shall inure to thebenefit of the parties' heirs, executors, administrators, representatives,successors, and assigns.

Headings utilized in this Agreement are for referencepurposes only and shall not be construed as limiting the scope or extent of anysection of the Agreement.
